1.Providing of Panic Button Services - Digifax (Pty) Ltd trading as Home 911 hereinafter referred to as Home 911 shall provide and render the Panic Button Services in accordance with the provisions of this Agreement on an 'as is' and 'as available' basis for the duration of this Agreement. 2.Remuneration - As remuneration for rendering the Panic Button Services, the Subscriber undertakes and binds itself to pay to Home 911 the fees in the manner and upon the terms stipulated in the Home 911 Remuneration, as set out in the Application. If any amount which is due in accordance with the provisions of this Agreement is not paid on due date therefore, the outstanding amount shall bear interest at the prime rate of ABSA Bank calculated with effect from the due date up to the date of payment. All payments in terms hereof shall be made free of any deductions or set off. In the event of any payment not being paid on due date thereof, Home 911 will have the right to claim payment of all outstanding indebtednesses of the Subscriber towards Home 911, together with interest accrued, without prior notification. The Subscriber shall bear and pay all legal costs arising out of any action which Home 911 may institute against the Subscriber in respect of any sum due in terms of this Agreement, on the scale as between attorney and own client, including any collection commission. 3.Breach - Home 911 shall in the event of a breach by the Subscriber of any of its obligations contained or implied in this Agreement, be entitled, without prejudice to any of its other rights or remedies in this Agreement or at law, to furnish the Subscriber with 7 (seven) days written notice to remedy such breach. In the event that the Subscriber fails to remedy such breach, the Home 911 shall be entitled, but not obliged, to hold the Subscriber to the terms of this Agreement and to institute proceedings for specific performance, or to cancel this Agreement and claim damages. Notwithstanding anything to the contrary herein contained, Home 911 shall not be obliged to perform any obligation in terms of this Agreement at any time whilst the Subscriber is in breach of this Agreement and the date for performance of any obligation by Home 911 shall be extended from the due date until the date upon which the Subscriber remedies the breach in question. 4.Suspension - Notwithstanding anything to the contrary, Home 911 shall from time to time and without notice to the Subscriber, be entitled to suspend the Panic Button Services in the event of any technical failure, modification or maintenance, either of the Panic Button Services, products or the equipment by means of which the Panic Button Services are provided or Home 911's network, or if the Subscriber does or allows to be done anything which, in Home 911's reasonable opinion, may have the effect of negatively affecting the operation of Home 911's business, the provision of services to the Subscriber or to any other subscriber. Notwithstanding any suspension of the Panic Button Services in terms of this clause 4, the Subscriber shall remain liable for all charges due hereunder throughout the period of the suspension, unless Home 911, in its sole discretion, should determine otherwise. 5.Indemnity - The Subscriber hereby indemnifies Home 911, its employees, agents and/or principals against any and all liability, loss, costs or damages that may be suffered or incurred by Home 911, its employees, agents and or principals as a result of claims or charges made against any one of them (whether at the instance of the Subscriber or a third party) related or pursuant to or arising out of or deriving from any failure on the part of the Subscriber to comply with its obligations in terms of this Agreement. 6.Limitation of Liability - Although every care is taken by Home 911 to ensure the efficient operation of the Panic Button Services, Home 911, its employees, agents and/or principals shall not be held liable or responsible for any damages or losses, of whatsoever nature and howsoever arising, suffered by the Subscriber or any third party in relation to the Panic Button Services. In particular it is recorded that there are elements to the Panic Button Services, which are out of control of Home 911. These include, but are not limited to viruses or other destructive codes that attaches itself to and infects, corrupts or destroy other programs or systems, faults in the public telephone networks, the execution and implementation of the Panic Button Services relies on the approval of network providers and the network providers have the right to discontinue or suspend a service in the event of line maintenance, service modifications and improvements or breach of codes of conduct, consequently, the parties agree that Home 911, its employees, agents and/or principals shall not be liable or responsible for any direct, indirect or consequential loss or damage whatsoever suffered by the Subscriber or any third party and howsoever arising in relation to the Panic Button Service. In addition, Home 911 does not represent, warrant or guarantee the error free use and/or availability of the Home 911 products and Panic Button Services. 7.Copyright and Intellectual Property Rights - Copyright and intellectual property rights in and to all Home 911 products, Panic Button Services, trade names, trademarks, logos, service marks, material, texts, drawings, information and date use in relation to the Home 911 products and Panic Button Services, whether registered or not (collectively "Home 911's IP"), are owned by Home 911, alternatively Home 911 is the lawful user thereof. Nothing contained in this Agreement shall be construed as granting the Subscriber or any user a licence or right to use Home 911's IP, without the prior written approval of Home 911. 8.General - The parties acknowledge that this Agreement contain the whole agreement between them and the Subscriber acknowledges and agrees that it has not relied upon any oral or written representations made to the Subscriber by Home 911, its employees or by other authorised agent and that the Subscriber has made, and is satisfied by, its own independent investigations into all matters. No relaxation, which any of the parties may allow each other at any time in regard to the carrying out of their respective obligations under this agreement shall prejudice or be regarded as a waiver of any of their respective rights under this Agreement in any manner whatever. No addition to or variation, agreed cancellation or novation of this agreement and no waiver of any rights arising form this agreement or its breach or termination shall be of any force or effect unless reduced to writing and signed by the parties. The Subscriber shall not be entitled to cede any of its rights, nor delegate any of its obligations under this agreement, or any agreement arising out of, pursuant to, or connected with this agreement without the prior written approval of Home 911.
